DIGITAL KITCHEN S.R.L., having its head office at 2nd Aviator Lt. Ion Marasescu Street, room 1, 1st District, Bucharest each hereinafter referred to as “DIGITAL KITCHEN” or “Company” is an e-commerce company acting on international scale.

DIGITAL KITCHEN reserves the right to change and update at any time the content of the website as well as the company pages registered on social networks as well as the Terms and Conditions, notifying DIGITAL KITCHEN’s partners by displaying on the website the latest update or informative communications about the updates and/or changes made. Any changes that significantly affect a DIGITAL KITCHEN partner or possible changes to the personal data processing activities of the partner or in relation to it, may be notified in the form of an e-mail, SMS or message displayed on site.

• DEFINITIONS

The terms mentioned below are within the purposes of these Terms and Conditions and have the following meanings:

1.1 “Website” means any website operated by DIGITAL KITCHEN for the sale of products and services and subject to these Terms and Conditions, accessible from https://digitalkitchen.ro.

These Terms & Conditions apply even if DIGITAL KITCHEN executes its contractual obligations without reservation and in full knowledge that the conditions of the Customer differ from these Terms & Conditions.

This site is addressed to representatives of DIGITAL KITCHEN partners, natural persons who are at least 18 years old and legal entities, who have not been suspended or removed from accessing the website by DIGITAL KITCHEN, regardless of the reason for the suspension or removal.

• INTELLECTUAL PROPERTY RIGHTS

3.1. For clarification, DIGITAL KITCHEN can offer the User through an agreement, the right to use, in a described form, certain content of the site. This agreement applies strictly to the content defined, for a period set forth in the agreement, and only to the person(s) permitted to use this content.

• PROPOSAL AND OFFERS

4.1 All offers and proposals from DIGITAL KITCHEN are non-binding, unless agreed otherwise in writing. An offer or proposal only applies to the assignment specified therein (and not to possible future assignments).

4.2. If the Customer provides DIGITAL KITCHEN with certain information, DIGITAL KITCHEN may assume that the provided information is correct and will base the proposal on that information.

• EXECUTION OF THE ASSIGNMENT

5.1 DIGITAL KITCHEN shall execute the assignment at the best of its knowledge and abilities and according to the requirements of professional practice.

5.2 Customer shall timely provide DIGITAL KITCHEN with all information or material, required for the execution of the assignment.

5.3 If the Customer does not provide the material or information in time, DIGITAL KITCHEN may suspend the execution of the assignment and charge the additional costs, resulting from the delay. DIGITAL KITCHEN is not liable for any damages, resulting from incorrect or incomplete information, provided by the Customer.

• LIABILITY

6.1 DIGITAL KITCHEN warrants that all deliveries shall be in compliance with the usual requirements and standards that may be stipulated in this respect at the time of delivery.

6.2 DIGITAL KITCHEN cannot be held responsible in any way to any user or partner for the way in which they use the site or the content, other than within the limits of the articles constituting this document Terms and Conditions.

6.3 DIGITAL KITCHEN does not guarantee the User access to the site or their functionalities and does not grant him the right to download or modify partially and/or fully the content, reproduce partially or fully the content, copy, or exploit any content from sections of the website or on DIGITAL KITCHEN’s social media pages in any other way, or to transfer to any third party any content to which it has and/or has obtained access, other than on the basis of a user agreement, so without prior consent written by the Company.

6.4 Promotional materials (including but not limited at partners advertising banners), used to present the Services provided by the Company, displayed on the DIGITAL KITCHEN’s website and/or on the DIGITAL KITCHEN’s Social Media pages have the exclusive character of promoting the Services provided by DIGITAL KITCHEN or the possible services of its third partners.

7.1 The Company shall not disclose any of Customer’s information to third parties, unless ADIGITAL KITCHEN is required by a statutory or professional obligation to disclose the information.

7.2 DIGITAL KITCHEN shall not use any information, obtained from Customer, in a different manner than originally intended, except that the information may be used in a legal procedure that involves the Company and the information can be of importance.

7.3 Customer shall not disclose the contents of agreements, confirmations, offers, reports, advices or other expressions from DIGITAL KITCHEN, whether they are in writing or not.

• GOVERNING LAW AND LITIGATIONS

8.1 These Terms and Conditions are subject to Romanian Law, subject to mandatory legal provisions in the Customer’s country of residence.

8.2 Your use of application may also be subject to other local, state, national or international laws. If you have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
